Data collected referring to "Restricted Stock/Units" includes full value shares or units awarded with vesting that is ultimately time-based, whether or not triggers exist to accelerate vesting based on performance (e.g., traditional restricted stock with cliff or graded time-based vesting or performance accelerated restricted stock with ultimate cliff vesting regardless of performance).
Data collected referring to "Performance Shares/Units" includes full value shares or units awarded with purely performance-based vesting (i.e., if performance goals are not met the shares do not vest regardless of how much time has passed). When performance-based vesting may influence the actual number of shares/units ultimately awarded to the employee, report the number of shares/units that would be earned for "on target" performance (not the maximum award possible).
Data collected referring to “Long-Term Cash Incentive” includes performance-based variable cash incentive plans with multi-year time horizons. Exclude multi-year retention plans where the amount of the cash payment is not variable or performance related. In the Long-Term Cash Incentive columns, "grant" refers to the employee becoming a participant in the cash LTI plan either at hire ("new-hire") or on an ongoing basis after hire ("ongoing"); grant does not refer to when the long-term cash incentive is actually paid. Similarly, "actual grant target amount" refers to the cash incentive the employee would receive during (or at the end of) the performance period if each/every performance metric met 100% of objectives for the performance period. Do not report the maximum or minimum cash amount that could be received, nor the actual cash amount that has been received.
